The companies of Yandex, VK, Ozon, MTS, Beeline and AmberData (controlled by the National Media Group) plan to become advertising data operators, which are required to send information about all campaigns in Runet to Roskomnadzor starting from the fall of 2022. Previously, it was expected that advertising market players would be able to independently transfer this information (the cost of contracts, the timing of campaigns, etc.) directly or through advertising data operators. However, a new set of amendments was adopted in July, allowing the data to be transmitted through advertising data operators only.

 
 According to the RBC sources, Yandex and VK have confirmed plans to become advertising data operators. MTS expects that the company’s subsidiary will be included in the list of applicants for this status. Ozon also confirmed the plans to create its own operator. AmberData is “working on theoperator creation”.

 
 According to Stanislav Danilov, a partner at the Pen & Paper law firm, working through an advertising data operator allows the advertiser to avoid the risks of incomplete or inaccurate data provision. Roskomnadzor said that it “does not have the authority to set prices for the services of advertising data operators”. At the same time, there are no instructions or recommendations concerning the costs of advertising data operator services in the law and in the already adopted bylaws.

Six Russian Companies Plan to Become Advertising Data Operators

Ozon has launched its hotel booking service, which currently operates as an aggregator. Ozon Travel allows users to choose from 70,000 accommodation options in Russia and in the countries available for travel.

 
 The company’s spokesmen say that in the future hotels will get a special personal account. Hotels will be able to log in to the account, post offers and independently manage prices.

Russian marketplaces Ozon, Wildberries and Yandex.Market have asked the government to apply support measures for the IT industry to them. The letter from online retailers was sent to Russian Prime Minister Mikhail Mishustin.

 
 According to the companies, “currently, there are practically no targeted support measures for IT companies in the Russian e-commerce market”. They also believe that it will be difficult to maintain the rapid development of the IT industry without supporting the marketplaces.

Russian Marketplaces Ask to Apply IT Industry Support Measures to Them

<a href="https://ir.yandex/press-releases?year=2022&id=03-03-2022" target="_blank" rel="nofollow">Yandex</a> and <a href="https://www.sec.gov/Archives/edgar/data/0001822829/000119312522065190/d212488dex991.htm" target="_blank" rel="nofollow">Ozon</a> have announced a possible default on eurobonds as a result of stock trading halt on the US stock exchange NASDAQ. The companies clarified that, according to the rules of the exchange, they are required to disclose all theoretically possible risks, even if they never occur.

 
 Yandex placed five-year convertible bonds in 2020. Bond payments in shares or cash. If the exchange does not trade Yandex shares for five days, then bondholders can ask to return their money “not in 2025, as planned, but earlier”. Currently, the amount that can be requested for repayment from Yandex is $1.25 billion. Yandex notes that this amount is more than is available in the company’s accounts.

 
 Ozon has a $750 million convertible note. Bondholders can request redemption after seven business days of no trading of the company’s shares on the stock exchange. At the end of February, Ozon had $1.35 billion (113 billion rubles) in its accounts, of which 80% were in foreign currency. Moreover, a large part of them is located in Russia. Considering the fact that the payments will be made by the Cypriot holding company of the group, there is a risk that it will not be possible to transfer funds from Russia abroad, both for technical reasons and due to regulatory prohibitions.

Yandex and Ozon Warn of the Possible Default Due to Stock Trading Halt

The Federal Antimonopoly Service (FAS) of the Russian Federation and IT companies, including 1C, Avito, Aliexpress, Wildberries, VK Group, Lamoda, Ozon, Russoft, Sberbank, Cian, Yandex, and Akit, have signed a memorandum that establishes the principles of interaction participants in digital markets.

 
 The document is a self-regulation tool and is aimed at creating non-discriminatory conditions for users.
